These Terms of Service ("Terms") govern your access to and use of the websites, hosting, domain, and related services (collectively, the "Services") provided by KingsHost ("KingsHost," "we," "us," or "our"). By creating an account, ordering a Service, or using kingshost.net, you agree to be bound by these Terms and by our Privacy Policy, Acceptable Use Policy, Refund Policy, and DMCA Policy, which are incorporated by reference.

1. Eligibility & Account

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. You agree to provide accurate, current, and complete information when registering and to keep that information up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at support@kingshost.net of any unauthorized access.

2. Description of Services

KingsHost provides web hosting, reseller hosting, virtual private servers, domain registration, SSL certificates, and related products. Specific features and resource limits are described on the relevant product page and on your invoice. We reserve the right to modify or discontinue any aspect of the Services at any time, with reasonable advance notice for material changes.

3. Fees, Billing & Renewals

Service fees are quoted in U.S. dollars unless otherwise specified and are payable in advance for the billing cycle you select (monthly, annually, or biennially). Services renew automatically at the end of each billing cycle at the then-current renewal price unless you cancel before the renewal date through your client area. We will send a reminder email before each renewal.

Failure to pay an invoice within fourteen (14) days of the due date may result in suspension; continued non-payment may result in termination and deletion of account data. Reactivation after suspension may incur a fee. Domain registrations and SSL certificates are non-refundable once registered or issued.

4. Refunds

Eligibility for refunds is described in our Refund Policy. In summary: shared and reseller plans carry a 30-day money-back guarantee; VPS plans a 7-day guarantee; domains, SSL certificates, dedicated servers (after the first seven days), and add-on services are non-refundable.

5. Acceptable Use

Your use of the Services is governed by our Acceptable Use Policy, which prohibits, among other things, unlawful content, malware, phishing, spam, and activities that compromise the security or stability of our infrastructure or third parties. Violations may result in immediate suspension or termination without refund.

6. Customer Content

You retain all ownership rights to the content you upload to or transmit through the Services ("Customer Content"). You are solely responsible for Customer Content, including its legality, accuracy, and the rights to use and distribute it. You grant us a limited license to host, copy, transmit, display, and back up Customer Content solely as necessary to provide the Services.

You represent and warrant that Customer Content does not infringe any third-party rights and complies with all applicable laws.

7. Backups

We perform routine backups of customer data as a courtesy, but you are ultimately responsible for maintaining your own independent backups of any business-critical data. We do not guarantee that backups will be available, complete, or restorable in every circumstance.

8. Service Level Agreement

We target 99.9% network availability per calendar month for shared, reseller, and VPS Services, excluding scheduled maintenance, force majeure, and issues caused by Customer Content or third-party software. If we fail to meet this target, you may request service credits via your client area within thirty (30) days of the affected month. Service credits are the sole remedy for unavailability.

9. Suspension & Termination

We may suspend or terminate the Services, in whole or in part, immediately and without prior notice if you (a) violate these Terms or any incorporated policy; (b) fail to pay; (c) engage in fraudulent or illegal activity; (d) cause an imminent risk of harm to our infrastructure, customers, or third parties; or (e) we are required to do so by law.

You may terminate your account at any time through the client area. After termination, we may delete your data following the retention periods described in the Privacy Policy.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA WILL BE SECURE OR NOT LOST OR ALTERED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL KINGSHOST, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless KingsHost, its affiliates, and their respective officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Services, (b) your Customer Content, (c) your violation of these Terms or any incorporated policy, or (d) your violation of any third-party right.

13. Intellectual Property

The Services, including all software, designs, text, graphics, logos, and trademarks, are owned by KingsHost or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes during your subscription, subject to these Terms.

14. Modifications

We may modify these Terms from time to time. Material changes will be communicated via email or a prominent notice on kingshost.net at least 30 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

15. Governing Law & Disputes

These Terms are governed by the laws of the jurisdiction in which KingsHost is established, without regard to its conflict-of-laws provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved by binding arbitration on an individual basis, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information. You waive any right to participate in a class action or class arbitration.

16. Miscellaneous

These Terms constitute the entire agreement between you and KingsHost regarding the Services and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
